Terms & Conditions

Please read these Terms and Conditions ("Agreement") carefully before using the services provided by JimTech Solutions ("Agency," "we," or "us"). By accessing or using our services, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not use our services.

1. Services
1. JimTech Solutions provides digital solutions, including but not limited to web development, AI integration, custom automation, SEO, and other related services.
2. The specific services provided to each client will be outlined in a separate agreement or proposal, specifying the scope, timelines, deliverables, and associated fees.
2. Client Responsibilities
1. The client agrees to provide accurate and complete information necessary for the delivery of services by JimTech Solutions.
2. The client is responsible for providing necessary access to their systems, platforms, accounts, and any other relevant resources required for the provision of services.
3. The client acknowledges that delays or failure to provide requested information or access may impact the delivery timeline and results.
3. Fees and Payment
1. The fees for services provided by JimTech Solutions will be agreed upon and documented in a separate agreement or proposal.
2. Unless otherwise stated, all fees are quoted in the currency specified and are exclusive of any applicable taxes.
3. Payment terms and methods will be specified in the separate agreement or proposal. Failure to make payments within the agreed-upon terms may result in suspension or termination of services.
4. Intellectual Property
1. JimTech Solutions retains all intellectual property rights to any work, including but not limited to designs, code, reports, and other deliverables, created or developed during the provision of services.
2. Upon full payment of fees, JimTech Solutions grants the client a non-exclusive, non-transferable license to use the deliverables for their intended purpose.
5. Confidentiality
1. Both parties agree to maintain the confidentiality of any confidential information disclosed during the course of providing or receiving services.
2. Confidential information includes but is not limited to, business plans, strategies, trade secrets, client lists, and any other proprietary or sensitive information.
3. The obligations of confidentiality will continue even after the termination or expiration of this Agreement.
6. Limitation of Liability
1. JimTech Solutions will make reasonable efforts to provide quality services. However, we do not guarantee specific results or outcomes.
2. To the fullest extent permitted by law, JimTech Solutions shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use our services.
3. The client agrees to indemnify and hold JimTech Solutions harmless from any claims, losses, liabilities, damages, costs, or expenses arising from the client's use of our services.
7. Termination
1. Either party may terminate this Agreement by providing written notice to the other party.
2. In the event of termination, the client will be responsible for any outstanding fees due for services rendered up to the termination date.
8. Modifications
1. JimTech Solutions reserves the right to modify, update, or replace any part of this Agreement at any time. Notice of any changes will be provided through appropriate communication channels.
2. Continued use of our services after any modifications indicates acceptance of the revised Agreement.
9. Governing Law and Jurisdiction
1. This Agreement shall be governed by and construed in accordance with the laws of the Philippines.
2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the Philippines.
10. Entire Agreement
1. This Agreement constitutes the entire agreement between the client and JimTech Solutions regarding the provision of services and supersedes any prior agreements or understandings, whether oral or written.
